Terms & Conditions of Engagement

(Including Elevator/Escalator/Travelator Cleaning, Removals, Installations, and Upgrades)

This below outlines the terms and conditions applicable to Clean Steps Pty Ltd (referred to as “Clean Steps” or “ESC”) for the cleaning, removal, installation, and upgrading of lifts, escalators, travelators, and related works. These terms are to be read in conjunction with any prior agreements, reflecting Clean Steps’ role as a contractor.

  1. General Terms & Conditions
  •  During the cleaning, repair, upgrade, rip out, and/or installation process, lifts, escalators, travelators, and/or moving walks may be temporarily unavailable for pedestrian use, which may result in inconvenience for the facility and its owners/clients. Clean Steps shall not be held responsible for any issues arising from this situation. The client is responsible for any extra signage or staffing requirements necessary for managing traffic safely and efficiently.
  • The industrial machines used to clean, rip out, upgrade, or install lifts, escalators, travelators, and moving walks can operate at a sound level of 85dB (+/- 4dB). If this noise level is not appropriate for the facility, Clean Steps strongly recommends scheduling the work outside of operating hours.
  • Unless specified in the quotation, work is conducted during regular business hours. Any request for after-hours work must be communicated to Clean Steps in advance, and the quotation will be adjusted accordingly.
  1. Payment Terms
  • Payment Terms: All payments are due within 14 days.
  • Progress Payments: Payments will be made on a weekly basis and will be aligned with the project’s progress. Any specific requirements for progress payments from the client must be communicated in advance and will be reflected in the quotation.
  • Material Costs: Materials purchased by Clean Steps for the project will be subject to a cost-plus 15% markup. These payments will be due upon receipt.
  • Deposits: Deposits are required only for projects where Clean Steps is responsible for purchasing significant materials. This will be outlined in the quotation and agreed upon in advance.
  • Currency: All payments will be made in Australian Dollars (AUD) unless agreed to prior and reflected in the quotation.
  • Cancellations/Unable to proceed with work: Any cancellation within a 48-hour period of works starting onsite will incur a fee of 50% of the quoted works. Should the works be rescheduled the cancellation fee may be reduced at Clean Steps (ESC) discretion. If Clean Steps (ESC) cannot proceed or continue work once arrived on site due to a client request or site conditions not being met a pack-up fee will be incurred relevant to the quoted sum. Should the works be rescheduled the pack-up fee may be reduced at Clean Steps (ESC) discretion.
  1. On-Site Requirements

The following items are required on-site for services to be provided:

  • On-site parking facilities with lift or ramp access to the bottom of the units. No Allowance for parking has been made unless specified in the quotation.
  • Access to water within 50 meters of the work area (Specifically for Cleaning Tasks).
  • Access to electricity for cleaning tasks within 15 meters of the work area. For Installations, upgrades and rip outs in the machine room, Lift shaft and Lift Pit.
  • On-site bathroom facilities.
  • Keys or other access devices to access devices and operate the lifts, escalators, travelators, or moving walks, must be supplied by the client (Clean Steps can arrange keys but requires a chargeable site visit prior to scheduling the works).
  • Plants must be operational and running reliably unless agreed prior and reflected in the quotation. Escalators and travelators must be able to move in both forward and reverse directions for cleaning or installation. If they are not, additional labour charges will apply based on specific site conditions.

Failure to meet these requirements will result in a minimum charge of $660.00 ex GST per Shift if the work cannot proceed (Specifically for Cleaning tasks). If work can proceed but is delayed, additional fees will be incurred in line with time and material losses.

  1. Access to Lift/Escalator Landings & Machine Rooms
  • Access to Lift/Escalator Landings: Safe, dry, and illuminated access to all lift, escalator, and travelator landing entrances must be provided by others.
  • Lift/Escalator Machine Rooms: Safe and clear access to the lift machine rooms is required. These rooms must be secure, well-lit, and free of obstructions for the duration of the project.
  1. Electrical Supply & Telephone Line (Installation, Upgrade and Rip out specific)
  • Electrical Supply: A three-phase, lift-specific amp electrical supply and earthing to the top door frame at the top of the lift shaft or in the machine room with approximately 4 meters of spare cable must be provided by others, in compliance with AS 3000 requirements.
  • Telephone Line: A dedicated telephone line or operational GSM phone, including a SIM card for GSM units, must be provided for the system to be placed into service. If that is not supplied during the installation this shall be left for the client to install.
  1. Installation & Client Specific Documentation
  • Clean Steps Shall need to be provided with all relevant wiring changes to install or integrate new equipment with old 1 week prior to starting onsite. Failure to do so may result in variation and delays of electrical and/or Mechanical component of the installation. Or to be left for the client unless agreed prior and reflected in the quotation.
  • Clean steps have made no allowance for client specific documentation to be completed throughout the job. Requirement for this may lead to a variation unless agreed to prior and reflected in the quotation.
  1. Induction Requirements

Clean Steps has allowed for up to one (1) hour of inductions per person and a maximum of ten (10) minutes for sign-in procedures. Any induction or sign-in procedures exceeding these timeframes must be communicated to Clean Steps in advance and shall be reflected in the quotation. Failure to do so may result in a variation and delay of the works.

  1. Installation Methodology
  • Preferred installation method is via false car for lifts.
  • Scaffolding will be accepted for escalators, travelators, and lifts if the building has 3 stops or fewer.
  • For buildings with 4 or more stops, scaffolding will only be accepted if Clean Steps is advised prior to the start of works to ensure proper labour pricing adjustment.
  • All landing gates required for the installation will be provided, installed, and removed by other parties.
  • Storage gates will similarly be provided, installed, and removed by others.
  • All necessary materials and equipment for the project will be provided by other parties, including delivery to the site.
  1. Program Duration and Overtime
  • The tender price is based on all work being performed during normal working hours. Any necessary overtime, if agreed upon, will be charged at an afterhours rate or fixed sum as reflected in the quotation.
  • Any loss of time due to delays beyond Clean Steps’ control, including waiting for other trades or delayed equipment delivery, will be charged at $120 per hour. This does not nominate our hourly chargeable rate for other works.
  1. Equipment & Delivery and Site Start Delays
  • All equipment necessary for the project must be delivered on-site at least two (2) days prior to the project start date. Delays in the delivery of equipment or the commencement of on-site works may incur additional costs (Variations) and time delays to the program.
  • Any equipment identified during the project that Clean Steps organises to facilitate the works shall be subject to payment terms of cost plus 15% and be due on receipt.
  1. Acknowledgements

The client acknowledges the following responsibilities and conditions:

  • Clean Steps will act in good faith and perform services with due care and skill.
  • The client must provide Clean Steps with clear access, necessary documentation, and timely instructions to deliver services efficiently.
  • The client is responsible for ensuring lifts, escalators, travelators, and moving walks are operational and reliable, with escalators and travelators moving in both directions for cleaning or installation.
  • A deposit of 25% of the total quoted fees is payable in advance for projects where substantial materials need to be purchased by clean steps unless otherwise agreed in writing and reflected in the quotation.
  1. Project Termination

In the event of project termination, Clean Steps shall be entitled to recover any costs for work performed and any non-recoverable costs committed to the project. In the event of termination prior to the start on-site, Clean Steps will be entitled to agreed damages equal to 10% of the quoted price to cover administrative rescheduling and loss of revenue.

  1. Suspension of Works and Payment Terms

Clean Steps reserves the right to suspend work if payments are not made in accordance with agreed terms. Payment delays will incur interest at the “indicator lending rate” published by Westpac Banking Corporation, plus 2%. Acceptance of this quotation is completed by signing and returning the document to Clean Steps via email.

  1. Force Majeure

To the maximum extent permitted by law, Clean Steps will not be held responsible for any failure or delay in the performance of its obligations under this order, to the extent that such failure or delay is caused by circumstances beyond Clean Steps’ reasonable control. Such events include fire, flood, national emergency, strikes, epidemics, pandemics, or other unforeseen occurrences.

  1. Limitation of Liability

Clean Steps shall not be liable for losses due to:

  • Delays caused by factors beyond Clean Steps’ control, such as material shortages, deliveries, order engineering errors, weather events, industrial action, or government actions.
  • Any loss, damage, or claims arising from a head contract/its client or collateral contract between you and your client/the principal.

Clean Steps’ liability is limited to damage to property or injury/death caused by negligent acts or omissions during the performance of its works. Consequential losses or liquidated damages, such as loss of profits, revenue, contractual claim or goodwill, are expressly excluded.

Clean Steps is not responsible for potential delamination of painted, powder-coated, or laminated surfaces during the cleaning, removal, or installation process. Our process specifically for cleaning is minimally abrasive but may contribute to paint delamination if the existing paint is already deteriorated.

  1. Indemnity

(a) The client indemnifies Clean Steps against all liability, loss, damage, costs and expenses, suffered, or incurred by Clean Steps, arising from, or incurred in connection with any breach of this agreement by the client, any act of fraud or wilful misconduct made by the client or made on the client’s behalf, reliance on advice or instruction from the client regarding any third-party services, the infringement of any third-party rights, including, without limitation, intellectual property rights, resulting from the use by Clean Steps of any content or other documentation and materials that the client has provided to Clean Steps, and delivery of the services in accordance with the agreement.

(b) The indemnity provided in clause 16(a) will be proportionately reduced to the extent that any damage, cost, expense, or loss suffered was contributed to by the direct actions of Clean Steps.

  1. Intellectual Property
  • The client licenses to Clean Steps such intellectual property (IP) necessary for Clean Steps to deliver its services.
  • Clean Steps licenses to the client such IP necessary for the client to use for which the services are provided.
  1. Confidentiality

Confidentiality Obligations: Both parties agree to treat all information as confidential and will not disclose it, except when required by law. This includes:

  • Information generated during the performance of the Agreement; and
  • The terms and details of any contractual relationship or Agreement between the parties.

 Exceptions to Confidentiality: The obligation of confidentiality does not apply if: 

  • Disclosure is required by law;
  • The information is already in the public domain;
  • Both parties provide written consent for disclosure; or
  • Disclosure is necessary to procure goods or services related to the performance of the Services.

These terms and conditions are incorporated into the contract for the cleaning, removal, installation, and upgrading of lifts, escalators, travelators, and related works. Clean Steps reserves the right to amend these terms subject to prior notice and agreement.
